These Terms of Use (“Terms”) govern your access to and use of the Anyverse InCabin web application (the “Web Application”), operated by Anyverse S.L. (“Anyverse”, “we”, “us”, or “our”). By using the Web Application, you agree to be bound by these Terms. If you do not agree, do not use the Web Application.
These Terms of Use may be updated and modified from time to time. Please regularly review the Terms of Use posted on the Anyverse InCabin Web Application or our website to ensure you are aware of all the terms and conditions that apply, as you will be subject to the Terms of Use in effect at the time you use the Web Application.
Certain features or services, including paid tiers or integrations, may be subject to additional terms (“Additional Terms”). If there is a conflict between these Terms and any applicable Additional Terms, the Additional Terms shall prevail with respect to the specific Web Application.
“Web Application” means the Anyverse InCabin online application, including all modules, updates, simulation models, synthetic datasets, associated scripts, configuration files, user interfaces, and all related documentation.
“Documentation” means all user manuals, instructions, installation guides, training materials, and other supporting materials made available by Anyverse.
“Third-Party Content” means software components or other digital materials from third parties, provided with or integrated into the Web Application.
“Ordering Documents” means any sales quote, purchase order, online subscription page, or agreement that identifies the specific use rights, license terms, or service tiers purchased.
“Use“ means to access, interact with, or derive outputs from the Web Application.
“Product Configuration” means the specific modules, versions, or features of the Web Application as defined by your subscription or licensing tier.
“Output” means synthetic data, simulation results, or visual representations generated through the Web Application.
“Input Data” means any prompts, configuration, or user-provided data used as input in the Web Application.
Anyverse grants you a personal, non-exclusive, non-transferable, revocable license to use the Web Application only in accordance with (a) these Terms, (b) the Documentation, and (c) any applicable Ordering Documents.

If you are using the Web Application on a trial or evaluation basis, such use is limited to internal, non-commercial evaluation and must not exceed the duration specified in the Ordering Document or invitation. Evaluation use is provided “AS IS” without warranties.
Access to and use of the Anyverse InCabin Web Application requires prior registration and creation of a user account. By registering, you agree to provide accurate, current, and complete information and to update it as necessary.
You must be at least 18 years old or have the legal capacity under your local law to enter into these Terms. If you are registering on behalf of an organization, you confirm you have authority to do so.
To subscribe or register, you must provide a valid email address, a unique username, a password, and your country of residence. You agree not to use a username that infringes on the rights of any third party, including intellectual property or trademark rights.
You are responsible for maintaining the confidentiality of your password and account. You agree not to share your credentials or allow others to use your account. You accept full responsibility for all activities conducted through your account.
If you become aware of any unauthorized use of your account or security breach, you agree to notify Anyverse immediately at info@anyverse.ai and to change your password promptly.
Anyverse employs industry-standard security protocols and measures, including encryption, access controls, and regular security assessments, to protect user data and the Web Application.
Failure to comply with these requirements may result in suspension or termination of your account and access to the Web Application.

Certain features and service levels may require payment of fees or subscription to specific tiers. Anyverse may offer limited free or evaluation access with usage restrictions and conditions.
You are solely responsible for maintaining backups of any content, data, or outputs created, stored, or accessed through the Web Application. Upon termination of these Terms or your account, Anyverse shall have no obligation to retain or provide access to such content or data.
All intellectual property rights in and to the Web Application, including all enhancements, derivative works, and Feedback, are and shall remain the sole property of Anyverse and its licensors. These Terms do not grant you any ownership rights.
The Web Application, including all modules, synthetic datasets, simulation models, software code (source and object), scripts, user interfaces, documentation, graphics, logos, trademarks, trade names, service marks, and other content (collectively, the “Elements”), are owned by Anyverse S.L. or its licensors and contain confidential and proprietary information protected by Spanish and international intellectual property laws, including copyright and trademark laws.
Anyverse grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Web Application and the Elements solely for your internal use and only during the term of your license or subscription. This license allows you to display and interact with the Web Application and authorized Elements within the scope permitted by these Terms.
You may download, reproduce, or perform certain Elements only as expressly authorized by Anyverse in writing or within the Web Application interface for the duration of your subscription.
All rights not expressly granted herein are reserved. You agree that you will not, except to the extent permitted by applicable law:
You acknowledge that your license to use the Web Application and Elements is conditional on compliance with these Terms and will automatically terminate upon termination of these Terms or your subscription. This license does not confer any ownership rights to you in the Web Application or Elements, which remain the exclusive property of Anyverse and its licensors.
The structure, organization, and source code of the Web Application and Elements constitute trade secrets and confidential information of Anyverse and its licensors, and you agree to maintain their confidentiality.
The Web Application may include components licensed from third parties, which may be subject to additional terms. These are available within the Web Application interface. You agree to comply with all such third-party terms.

The Web Application is provided “AS IS” without warranties of any kind. Anyverse disclaims all warranties, including merchantability, fitness for a particular purpose, accuracy, or non-infringement. You assume all risks related to the quality, performance, and suitability of the Web Application.
The Web Application, including all related services and data provided therein, is offered “as is” and “as available”, without any express or implied warranties, representations, conditions, or terms of any kind, including but not limited to warranties of merchantability, satisfactory quality, fitness for a particular purpose, or non-infringement.
You acknowledge and agree that, while the Web Application is designed to assist in the simulation and analysis of vehicle cabin environments, it is not a substitute for professional design, engineering, or safety assessments performed by qualified experts. It is your sole responsibility to determine how to use the Web Application appropriately to achieve your intended results. Anyverse, its licensors, and service providers make no guarantees regarding the performance or outcomes obtained through use of the Web Application.
Anyverse operates its Service infrastructure utilizing third-party cloud providers, which may include, but are not limited to, platforms such as Google Cloud Platform (GCP). While Anyverse implements industry-standard security measures, including encryption of data at rest and in transit, as well as regular backups and redundancy, availability and security are inherently dependent on these third-party services. Users acknowledge that disruptions, outages, or security incidents beyond Anyverse’s control may occur.
To the fullest extent permitted by applicable law, Anyverse disclaims all warranties and conditions relating to:
Anyverse undertakes reasonable efforts to identify and remediate vulnerabilities and protect against malware through ongoing security assessments, monitoring, and use of antivirus tools. However, you acknowledge and accept that no system is completely secure.
Anyverse shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, strikes, war, terrorism, government actions, or interruptions in telecommunications or power supplies.
You expressly agree that your use of the Web Application is at your sole risk. Any advice or recommendations provided by Anyverse or its representatives that are not explicitly confirmed in writing shall not create any liability for Anyverse.
To the extent permitted by law, in no event shall Anyverse, its affiliates, officers, directors, employees, shareholders, or agents be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, loss of data, or business interruption, arising out of or related to your use or inability to use the Web Application, even if Anyverse has been advised of the possibility of such damages.
Anyverse’s total aggregate liability for any claims arising from or related to these Terms of Use or the Web Application shall in no event exceed the fees paid by you for the use of the Web Application during the six (6) months preceding the event giving rise to the claim.

These Terms are effective until terminated. Either party may terminate at any time upon written notice. Upon termination:
You may terminate your use of the Web Application at any time by submitting a request to close your user account.
Upon closure of your user account, you may re-subscribe and use the Web Application again; however, you acknowledge and agree that Anyverse shall have no obligation to retain or restore any Content, Items, or other data previously uploaded or generated through the Web Application. All such Content and data will be permanently deleted and unrecoverable.
Anyverse reserves the right to suspend or terminate your account, restrict your access to parts or all of the Web Application, or prohibit your use of the Web Application altogether if you breach any provision of these Terms of Use.
In the event of any breach of your obligations under these Terms, Anyverse will notify you by email, requesting that you remedy such breach. If you fail to cure the breach within eight (8) calendar days from the date of such notification, or if you commit any additional violations during this period, Anyverse may immediately and lawfully terminate your access to and use of the Web Application by email notification, without prejudice to any other rights or remedies available under applicable law.
Upon termination or suspension of your account, unless otherwise specified in additional terms, you will no longer have access to the Web Application, nor to any Content, Items, or data stored or published through the Web Application. It is your sole responsibility to back up any Content or data prior to termination if such option is available.
The disclaimers, limitations of liability, and all other rights and obligations set forth in these Terms of Use shall survive the termination of your access and use of the Anyverse Web Application.
These Terms are governed by the laws of Spain. Any disputes shall be submitted to the exclusive jurisdiction of the courts of Madrid. The UN Convention on Contracts for the International Sale of Goods does not apply.
These Terms constitute the complete agreement between you and Anyverse. No waiver or modification shall be effective unless in writing and signed by both parties. If any part is unenforceable, the remainder shall remain in effect.

By submitting suggestions or comments, you expressly acknowledge and agree that such communications are not confidential and that Anyverse may freely use, reproduce, modify, publish, or otherwise exploit your submissions for any purpose without any obligation of confidentiality or compensation to you.
You may have additional rights under the mandatory laws of the country in which you have your habitual residence. Nothing in these Terms of Use is intended to limit or exclude those rights to the extent they cannot be waived or restricted by law.
If any provision of these Terms of Use is held to be invalid, illegal, or unenforceable under any applicable law or regulation, or following a final decision of a competent court or authority, such provision shall be deemed to be modified or severed to the minimum extent necessary to render it valid and enforceable, and the remaining provisions shall remain in full force and effect.
Neither you nor Anyverse may assign, transfer, or delegate any of its rights or obligations under these Terms of Use, whether for consideration or gratuitously, without the prior written consent of the other party. Notwithstanding the foregoing, Anyverse may assign, transfer, or delegate these Terms of Use, in whole or in part, without your consent, in connection with a corporate reorganization, merger, acquisition, sale of assets, or change of control.
The failure by Anyverse to enforce any right or provision under these Terms of Use shall not constitute a waiver of such right or provision unless expressly acknowledged and agreed to by Anyverse in writing.
These Terms of Use constitute the entire agreement between you and Anyverse relating to the subject matter herein and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and Anyverse.
